Yup. Delaware or Utah might make sense if you were a large company in the business of issuing credit cards, but as far as I know, it would just add to the expense and hassle for a business like yours.
Depends. In most cases a C corp is going to be disadvantageous tax-wise for a small business. Tax-wise an LLC and S corp are treated the same and a lot of the other distinctions between them have been erased. It is generally easier to transfer portions of the ownership of an S corporation versus an LLC, though.
